はじめに
本利用規約(以下「本規約」)は、英国の通信販売規則(Distance Selling Regulations 2000)およびその他の関連する消費者保護法令に基づいて定められています。本規約は、事業目的ではなく、個人のお客様として商品やサービスをご購入される場合に適用されます。事業目的で商品をご注文される場合は、別途定める「法人のお客様向け利用規約」をご確認ください。なお、本規約の内容は、消費者としてお客様に認められている法定の権利に影響を与えるものではありません
契約内容
当サイトからご注文いただいた場合、以下の内容に同意したものとみなされます:
(a) 法律上、有効な契約を結ぶことができること。
(b) 18歳以上であること。
ご注文後、当社よりご注文を受領したことをお知らせする確認メールをお送りします。ただし、この時点では、ご注文が正式に承諾されたことを意味するものではありません。お客様のご注文は、当社に対する商品の購入申込み(オファー)となります。すべてのご注文は、当社による承諾を条件としています。当社が対象商品の発送を完了したことをお知らせするメール(以下「発送確認メール」)をお送りした時点で、当社はご注文を承諾したものとします。当社とお客様との間の売買契約(以下「本契約」)は、この発送確認メールを当社が送信した時点で成立します。
本契約は、当社が発送確認(Dispatch Confirmation)を行った商品にのみ適用されます。発送確認が行われていない商品については、たとえご注文に含まれていた場合であっても、当社は当該商品の供給義務を負いません。これらの商品については、別途発送確認が行われた時点で、はじめて供給対象となります。当社は、可能な限り、すべての商品注文を30日以内に完了するものとします。万一、30日以内に注文が完了しない場合、お客様は追加費用を負担することなく、当該注文をキャンセルする権利を有します。
配送
当社は、ご注文の商品が指定された期間内に配送されるよう最大限努めますが、第三者(配送業者等)による配送遅延については責任を負いかねます。特に、郵便(普通郵便・書留等)による配送については、配達日時を保証するものではありません。
配送に際して宅配業者を利用する場合、商品の引き渡しには受領のための署名が必要となります。当社が利用する宅配業者は、ご注文時にお客様より「安全な場所への置き配」のご依頼がない限り、署名を伴わずに商品をお届け先に置いていくことはありません。
配達時に署名が得られなかったことにより商品が当社へ返送された場合、再配送にあたり宅配業者が再度配送を行う必要が生じたときは、当社は追加料金を請求する権利を留保します。なお、当社が利用する宅配業者は、商品が返送される前に、原則として少なくとも3回の配達を試みます。
不足
数量不足については、当社から商品を受領後、合理的な期間内に当社へご連絡いただく必要があります。また、商品に破損や不具合がないか、受領時に速やかにご確認いただくことを推奨します。お客様が当社に対して商品を受領した旨を通知した場合、または当社の所有権と両立しない行為(例:商品をお客様の車両に取り付ける行為)を行った場合には、当該商品はお客様により受領・承諾されたものとみなされます。
お客様の権利
お客様は、商品を受け取った日の翌日から数えて7営業日以内であれば、いつでも契約をキャンセルすることができます(以下「キャンセル期間」といいます)。この場合、「当社の返金ポリシー(Our Refunds Policy)」に基づき、お支払いいただいた商品代金は全額返金されます。
契約をキャンセルされる場合は、書面にて当社へご連絡ください。ご連絡は、件名に「Order Cancellation」と記載のうえ、当社宛にメール(sales@scparts.co.uk)を送信する方法、または下記住所宛に書面を郵送する方法で行うことができます。
また、商品は、受け取ったときと同じ状態のまま、速やかに当社へご返送ください。返送にかかる費用および配送中のリスクは、お客様のご負担となります。商品がお客様の手元にある間は、適切に管理する法的な義務があります。この義務を守られない場合、当社から損害賠償を請求させていただくことがあります。
なお、法令に基づくキャンセルの権利およびその手続き方法については、発送確認(Dispatch Confirmation)に詳しく記載されています。また、特別注文品については、通常の商品とは異なり、キャンセルできる範囲が限定される場合があります(下記参照)。
特別注文品
「特別注文品(Specially Ordered Goods)」とは、お客様の仕様に基づいて製作される商品をいい、「受注生産」の内装トリム部品や、再生・修理(リコンディショニング)のためにお客様からお預かりするユニット類を含みます。 特別注文品は、当社がご注文を受けた日の翌日から数えて7営業日間(以下「クーリングオフ期間」といいます)を除き、原則としてキャンセルすることはできません。クーリングオフ期間内にキャンセルされた場合は、商品代金は全額返金されます。 クーリングオフ期間が終了した後は、当社がサプライヤーへ正式に発注するため、その後のキャンセルはお受けできません。
If you decide to cancel the order after the Cooling-Off Period we will be entitled to withhold such amounts from the purchase price paid by you (up to the full purchase price) to cover any direct loss we may have incurred as a result of your cancellation. We will use our reasonable endeavours to mitigate any such loss and refund to you the balance remaining, if any, after we have recovered our costs.
Should you wish to opt out of the Cooling-Off Period (so as not to delay the order), you must call us first to discuss this option and then confirm this in writing to us. Specially Ordered Goods cannot be returned to us unless damaged in transit or are faulty.
The above does not affect your statutory rights and if your specifically ordered goods are defective in anyway please contact us immediately in accordance with our refunds policy.
Our Refunds Policy
When you return goods to us because you have cancelled the Contract between us within the Cancellation Period, we will process the refund due to you as soon as possible. In this case, we will refund the price of the goods in full. However, you will be responsible for the cost of returning the item to us.
If you return goods for any other reason (for instance, because you claim that the goods are defective), we will examine the returned goods and will notify you of your refund via e-mail within a reasonable period of time. We will usually process the refund due to you as soon as possible. Goods returned by you because of a defect will be refunded in full.
We will usually refund any money received from you using the same method originally used by you to pay for your purchase.
Our Liability
We warrant to you that any goods purchased from us through our site are of satisfactory quality and reasonably fit for all the purposes for which goods of the kind are commonly supplied.
Our liability for losses you suffer as a result of us breaking this agreement is strictly limited to the purchase price of the goods you purchased.
This does not include or limit in any way our liability:
for death or personal injury caused by our negligence;
under section 2(3) of the Consumer Protection Act 1987;
for fraud or fraudulent misrepresentation; or
for any matter for which it would be illegal for us to exclude, or attempt to exclude, our liability.
We are not responsible for indirect losses which happen as a side effect of the main loss or damage and which are not foreseeable by you and us, including but not limited to: loss of income or revenue; loss of business; loss of profits or contracts; loss of anticipated savings; loss of data; loss of data, or waste of management or office time however arising and whether caused by tort (including negligence), breach of contract or otherwise.
Prices and Payment
The price of any goods will be as quoted on our site from time to time, except in cases of obvious error. All prices are quoted in Pounds Sterling ('GBP') and include VAT at the rate of 20%. The costs of freight, packaging and insurance are not included in the quoted prices. Prices are liable to change at any time, but changes will not affect orders in respect of which we have already sent you a Dispatch Confirmation.
Our site contains a large number of goods and it is always possible that, despite our best efforts, some of the goods listed on our site may be incorrectly priced. We will normally verify prices as part of our dispatch procedures so that, where a goods’ correct price is less than our stated price, we will charge the lower amount when dispatching the goods to you. If the goods’ correct price is higher than the price stated on our site, we will normally, at our discretion, either contact you for instructions before dispatching the goods, or reject your order and notify you of such rejection. We are under no obligation to provide the goods to you at the incorrect (lower) price, even after we have sent you a Dispatch Confirmation, if the pricing error is obvious and unmistakeable and could have reasonably been recognised by you as a mis-pricing.
We accept payment from you with the following credit / debit cards: Visa, American Express, Mastercard. The security code that is found on the back of your credit / debit card - last three digits on the signature strip must be provided in order for us to process your payment.
We also accept payment by PayPal (GBP).
Import Duty
If you order goods from our site for delivery outside the UK, they may be subject to import duties and taxes which are levied when the delivery reaches the specified destination. You will be responsible for payment of any such import duties and taxes. Please note that we have no control over these charges and cannot predict their amount. Please contact your local customs office for further information before placing your order.
Please also note that you must comply with all applicable laws and regulations of the country for which the products are destined. We will not be liable for any breach by you of any such laws.
Transfer Of Rights And Obligations
The contract between you and us is binding on you and us and on our respective successors and assigns. You may not transfer, assign, charge or otherwise dispose of a Contract, or any of your rights or obligations arising under it, without our prior written consent, such consent not to be unreasonably withheld or delayed. We may transfer, assign, charge, sub-contract or otherwise dispose of a Contract, or any of our rights or obligations arising under it, at any time during the term of the Contract.
Events Outside Our Control
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract that is caused by events outside our reasonable control ('Force Majeure Event').
A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following: strikes, lock-outs or other industrial action; civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war; fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster; impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; impossibility of the use of public or private telecommunications networks; the acts, decrees, legislation, regulations or restrictions of any government.
Our performance under any Contract is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations under the Contract may be performed despite the Force Majeure Event.
Our Right To Vary These Terms And Conditions
We have the right to revise and amend these terms and conditions from time to time.
You will be subject to the policies and terms and conditions in force at the time that you order goods from us, unless any change to those policies or these terms and conditions is required to be made by law or governmental authority (in which case it will apply to orders previously placed by you), or if we notify you of the change to those policies or these terms and conditions before we send you the Dispatch Confirmation (in which case we have the right to assume that you have accepted the change to the terms and conditions, unless you notify us to the contrary within the Cancellation Period).
Law And Jurisdiction
Contracts for the purchase of goods through our site will be governed by English law. Any dispute arising from, or related to, such Contracts shall be subject to the non-exclusive jurisdiction of the courts of England and Wales.
